For an efficient board of trustees: Successful successions and renewals - examples, key factors and recommendations to succeed in the process

How to successfully plan the replacement of an organisation’s executive director and trustees is probably one of the greatest tests of the good governance of an institution. As is to be expected, the succession process does not pose the same risks nor the same level of trustee board involvement if prepared with sufficient notice (planned succession) as it does if certain departures have taken the board by surprise (emergency succession). 

Nevertheless, even if the company did not foresee the departure of its directors and trustees, it must have a series of practices in force in order to manage the risk of unforeseen departures. When the founding chairman or CEO leaves the company, it suffers an initial lack of leadership and momentum.

Succession plans themselves are a way of minimising this by guaranteeing that the leadership and talent of the company are suitably spread out and that the entire organisation shares the same vision. These policies and processes, besides other purposes, help distribute leadership amongst the whole company and avoid the risks of management revolving overly around certain individuals. 

Javier Martín Cavanna, Director of the Fundación Compromiso y Transparencia and Editor of Compromiso Empresarial, will give us his view on all the following vital questions for any organisation: 

How can we measure and minimise succession risks? How should we approach the founding chairman’s succession? How should we plan the departure of trustees?

How can we guarantee the right selection of trustees to replace those who are leaving? How can we know which trustees the organisation needs?

Which board member should be in charge of managing the succession of trustees? Should the chairman choose his own successor?

What’s more, as we know that several organisations are actively searching for new trustees and that several ESADE alumni are thinking about joining boards of trustees, we will also allow time for a guided networking session during which NGO leaders and volunteers considering the role of being a trustee can meet each other and share information.

Introducing and leading the event will be Alfred Vernis (Lic&MBA 88), Director of University Programmes at ESADE and member of the Alumni Giving Back management board, who will also moderate the discussion afterwards.

The session will end with a networking aperitif.
