Esade Alumni and Esade Law School are pleased to invite you to “Liabilities in M&A transactions. Overview and current trends with particular emphasis on M&A insurance,” a talk in the refresher programme series by EduardGeli, partner at Uría Menéndez.
M&A liabilities are often simply regarded as objective risk assessment. But inevitably, subjective matters concerning buyers and sellers (i.e. knowledge, ignorance, deceit, breach of duty to know, etc.) do arise and must be taken into account. This talk will examine how liabilities are usually dealt with in M&A contracts, the different interests such liabilities aim to safeguard and the formats usually adopted to safeguard these interests. Finally, we will take a close look at the increasing use of M&A insurance.
EduardGeli joined Uría Menéndez in 1988 where he became a partner in 1998. In 2000 he became the head of the Uría Menéndez office in New York. In 2002, he returned to Barcelona to coordinate the mercantile division.
He specialises in corporate mergers and acquisitions, banking and financial law, stock exchange law and mercantile law in general.

Teaching
Since 1997, he has taught several master courses about corporate law at the Universitat Pompeu Fabra, Universidad de Barcelona, Universidad Internacional de Cataluña and Esade. He currently teaches corporate law, and mergers and acquisitions on the master’s degree in law and the master in international business law at Esade. He also teaches corporate acquisitions and corporate structural change on the master’s degree in law at Universitat Pompeu Fabra.
