Esade Alumni and Esade Law School are pleased to invite you to “Liabilities in M&A transactions. Overview and current trends with particular emphasis on M&A insurance,” a talk in the refresher programme series by Eduard Geli, partner at Uría Menéndez.
M&A liabilities are often simply regarded as objective risk assessment. But inevitably, subjective matters concerning buyers and sellers (i.e. knowledge, ignorance, deceit, breach of duty to know, etc.) do arise and must be taken into account. This talk will examine how liabilities are usually dealt with in M&A contracts, the different interests such liabilities aim to safeguard and the formats usually adopted to safeguard these interests. Finally, we will take a close look at the increasing use of M&A insurance.
